Q: What is the California Brewers Guild?

A: Calbrewers is a homebrew club, which has the organizational structure of a Limited Liability Company.

Q: What is a Limited Liability Company?

A: A Limited Liability Company or LLC is a method of integrating management and members that allows both to participate in the day-to-day operations of the company, while protecting them both from the loss of personal assets.

Q: So why is the California Brewers Guild a LLC instead of a not-for-profit corporation?

A: A not-for-profit corporation really means that it is tax-exempt, also a not-for-profit corporation can not do any lobbying, while a LLC is not tax-exempt and can lobby, both can raise capitol by the use of fundraisers. In an LLC every members personal assets are protected, regardless of being a manager, a general or limited member. In a not-for-profit corporation, the personal assets of the officers and any directors are protected, but not a general member. The California Brewers Guild wanted all of its members to be equal.

Q: If, the California Brewers Guild is not tax-exempt, does this mean it pays corporate taxes?

A: Yes! This is one of the disadvantages. Protecting our members out weighted the cost of paying taxes.
